Acceptance of Terms

By accessing or using www.theemissaryagency.com (“Website”) and/or engaging our services, you (“User” or “Client”) agree to these Terms. If you do not agree, please do not use the Website or our services.

Scope of Services

We offer marketing, PR, event coordination and consulting services (“Services”). Any project engagement will be governed by a separate proposal or statement of work (“SOW”), which—together with these Terms—defines deliverables, fees and timelines.

Use of the Website

• You agree to use the Website only for lawful purposes.
• You will not upload harmful code, infringing content, or otherwise interfere with Website operation.
• We reserve the right to suspend or terminate access for violations.

Accounts & Passwords

If you register for an account, you are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorized use.

Fees, Invoicing & Payment

• Service fees and payment terms are set out in the applicable SOW.
• Invoices are due within 14 days of receipt.
• Late payments accrue interest at 1.5% per month.
• You reimburse reasonable, pre-approved out-of-pocket expenses (travel, third-party fees).

Client Responsibilities

You agree to:

a) Provide timely information, materials and approvals;

b) Obtain any necessary rights to materials you supply;

c) Comply with all applicable laws when using deliverables.

Intellectual Property

• We retain all rights in methodologies, templates and pre-existing materials.
• Upon full payment, we grant you a perpetual, non-exclusive license to use final deliverables for your internal business purposes only.
• You may not redistribute, resell or sublicense our deliverables without our written consent.

Confidentiality

Each party shall keep the other’s confidential information strictly confidential and use it solely to perform obligations hereunder. These confidentiality obligations survive termination for three (3) years.

Privacy & Data Protection

Our Privacy Policy explains how we collect, use and safeguard your personal data when you visit our Website or engage our Services. By using the Website, you consent to such collection and processing.

Warranty Disclaimer

Except as expressly set out in a signed SOW, all Services and Website content are provided “AS IS” without warranties of any kind—express or implied, including merchantability, fitness for a particular purpose or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to these Terms or Services is limited to the total fees you paid us under the applicable SOW. We are not liable for any indirect, incidental or consequential damages.

Indemnification

You agree to indemnify and hold harmless The Emissary Agency and its officers, employees and agents from any third-party claims arising out of (i) your use of the Website or deliverables, (ii) your breach of these Terms, or (iii) materials you supply.

Termination

Either party may terminate a Services engagement on 30 days’ written notice. Upon termination, you pay for Services performed and non-cancelable commitments incurred through the termination date.

Changes to These Terms

We may update these Terms at any time by posting a revised version on the Website. Continued use after changes constitutes acceptance.

Governing Law

These Terms are governed by the laws of the jurisdiction in which The Emissary Agency is incorporated. Any dispute will be resolved in the courts competent for that jurisdiction.
